Job Description

The Legal Counsel is responsible for contributing to FMH’s strategy and vision through the provision of expert legal advice ensuring the ongoing protection of FMH’s interests.

The Legal Counsel will work closely with the Group General Counsel and key internal stakeholders (including the Board and senior management team) to provide a full suite of legal services to FMH Group entities including but not limited to the following: contract preparation and negotiations, tendering, dispute resolution, commercial transactions including acquisitions, corporate governance advice, risk management, leases and licences, employment related advice, intellectual property rights, and privacy matters.

The Legal Counsel supports the Group General Counsel in the management of the outsourcing of legal services.

Requirements

As the Legal Counsel your responsibilities include:

  • The ability to demonstrate sound judgement to effectively prioritise your workload, work autonomously and to maintain a high quality of legal services.
  • Provide expert, timely, clear and business ready legal advice to the Group General Counsel, CEO, and the senior management team of the 4PL division, transport and warehouse division, and technology division;
  • Timely review and negotiation of customer and supplier contracts, leasing documents and other legal agreement;
  • Assist external legal counsel to represent FMH entities in any legal proceedings and mediations;
  • Manage the legal risks of potential acquisitions in conjunction with external legal counsel when/as appropriate;
  • Providing clear advice and support to the Board and Company Secretary on legal and governance matters;
  • As required, support the People amp; Culture team in employment law and industrial relations matters;
  • Maintain and enhance the suite of template agreements and legal processes across the business;
  • Identify legal risks and implement appropriate policies, processes and controls to manage legal risks, with minimal supervision.
  • Manage relationship between external legal services providers, with minimal supervision.
  • Forge consultative working relationships with the key internal stakeholders to improve early decision making in connection with the management of legal risks;
  • Increase knowledge and awareness of legal issues within the broader entity including by conducting in-house education for FMH team members on relevant matters relating to legal risk management to improve decision making; and
  • Oversee FMH’s corporate governance rules are enforced and maintained, in particular to ensure that contracts are signed and implemented appropriately.

As the Legal Counsel you will have -

  • Significant experience in Corporate/Commercial law;
  • Proven ability to formulate legal solutions and to minimise and avoid exposure;
  • Demonstrated ability to exercise high level judgement and discretion, and to manage corporate compliance, contractual and legal issues;
  • Excellent stakeholder management, with the ability to work with non-lawyers to achieve outcomes;
  • High degree of commercial acumen understanding key business drivers;
  • Demonstrated adherence to a high standard of professional principles to ensure honesty, integrity and ethical decision-making in all situations; and
  • Exceptional organisational skills and focus, including a capacity to effectively and efficiently prioritise tasks and manage time in accordance with strict deadlines, with meticulous attention to detail.

Qualifications:

  • holding a current unrestricted practising certificate as an Australian lawyer
  • 4PQE 6PQE
