About the Role

Reporting to the General Counsel, you will work closely with the business, including senior leaders on a broad array of contracts and agreements, commercial transactions, disputes and litigation, regulatory compliance, employment matters, Mamp;A and CoSec work. You will be a key point of contact for the business where you will provide advice and legal expertise on a diverse range of matters. Liaise with and manage relationships with external legal support. Promote legal and compliance awareness in the business, preparing and delivering relevant training programs and proactively improving the risk profile of the organisation. Build strategic relationships with the business understanding the strategic needs and objectives and propose commercial legal solutions whilst assessing legal risk.

WHO YOU ARE:

  • Strong Communicator. Excellent written and verbal communication skills, able to draft review and negotiate contracts and articulate legal risks and innovative solutions.
  • Commercially Astute. Pragmatic commercially minded approach to get things done, solution oriented, avid learner, able to generate creative options and think ahead to anticipate potential problems.
  • Team Player. Positive team attitude, strong work ethic, and enjoys working in a team environment.
  • Self-starters. Highly accountable and take ownership of your work and need no prompting to drive productivity, change, and outcomes.

WHAT YOU NEED

  • Ideally 2+ years PQE gained from private practice or in-house organisation and admitted to practice law in NSW.
  • Strong contract drafting and contract review skill set as well as commercial acumen.
  • Interpersonal skills to build relationships and communicate with all levels of stakeholders.
  • The desire to impact, influence, add value and champion significant legal initiatives.

WHAT YOU WILL DO

  • Contract review: Draft, review, negotiate and advise on various types of contracts for both our sales and non-sales departments (e.g. commercial agreements, supply agreements, distributions agreements, leases, licences etc.).
  • Legal Advice: Provide written and verbal legal advice as and when required.
  • Acquisition due diligence: Assist in undertaking due diligence for potential acquisitions as required.
  • Education and training: work closely with the quality assurance, sales, and marketing teams as required to educate and train them on legal issues and ensuring compliance with internal policies and relevant law.
  • General legal assistance: Assist on all legal matters affecting the business (e.g., employment law and HR matters, questions on contract interpretation).
  • Litigation assistance: Assist on litigation or pending litigation and claims.
  • Co Sec: Assist in preparation of company secretarial documents as required.
  • Streamlining: Review of template contracts and process improvement and policy, amending existing or creating new policies and then rolling them out.
  • Internal reporting amp; general administrative tasks: Maintain contracts register and other legal and compliance reports and undertake other general administrative tasks as reasonably required.
